Welcome to Coinrule Limited, hereinafter also referred to as “Coinrule” or “we/us/our”. We offer a software as a service solution “SaaS”, hereinafter referred to as “the Software” through our website (the “Website”). The Software enables you (the “User”) to create trading rules and automate their operation on third-party cryptocurrency exchanges.

1. Definitions

• Coinrule: Coinrule Limited is a limited liability company incorporated under the laws of the United Kingdom and Wales, registered under number 11265766. Registered office: Office One, 1 Coldbath Square, EC1R 5HL, London, United Kingdom.
• “Agreement” means this Terms of Use and any Supplemental Terms applicable to your use of our Services.
• “Software”: developed and fully owned by Coinrule, the Software enables users to create various trading rules on a user-friendly digital interface.
• “Subscription”: one of the selected paid plans that permits the User to use the Software.
• “Digital Asset”: any cryptocurrency, cryptoasset, blockchain-based token, or other digital asset supported by the Services.

2. Registration and Personal Account

To have initial access to the Software, you will need to register and create a personal account. You must protect the login details of your account and keep your password strictly secret. We will assume that all activity from your account is carried out by you or under your supervision.

3. Offers and Prices

All offers and free trials on the Website are without obligations but subject to these Terms. We reserve the right to adjust prices subject to market conditions. You agree to any price changes that take effect immediately.

4. Free Trial

Upon registration, you may have an option to select a Free Trial. Some functionalities are subject to limitations during the Free Trial. Coinrule reserves the right to amend the structure, length and availability of trading rule options within the Free Trial.

5. Subscription and Payment

You need a Subscription to use the Website and the Software and its range of functionalities. Subscriptions are offered on a monthly and/or annual basis. Payment methods are authorized via Stripe, Chargebee and Checkout.com. Neither Coinrule nor payment processors will have access to your financial data.

6. Cancellation

Users have the right to cancel their Subscription, Trial and Account at any time. Coinrule reserves the right to retain payments for the amount of time already selected.

7. Refund Policy

Users may request a refund within seven (7) days after the subscription start date. Following this period, Coinrule reserves full discretion to refund requested amounts.

8. Account Deletion

You have the right to request permanent deletion of your account and all associated data by contacting [email protected].

9. User Licence

This is the grant of a licence, not a transfer of title. Under this licence you may not: modify or copy the materials; use the materials for any commercial purpose or public display; attempt to decompile or reverse engineer any software; remove any copyright notations; or transfer or mirror the materials. Any intellectual property within Coinrule is licensed, not sold, to you.

10. Disclaimer and Representations

The materials on the Website are provided on an “as is” basis. Coinrule makes no warranties, expressed or implied, and hereby disclaims all other warranties including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Limitation of Liability

In no event shall Coinrule or its suppliers be liable for any damages including loss of data, financial losses, or business interruption arising out of the use of or omission to use any materials on the Website.

12. Accuracy of Materials

The materials on the Website could include technical, typographical, or photographic errors. Coinrule does not warrant that any materials are accurate, complete or current. Coinrule may make changes at any time without notice.

13. Marketplace

Coinrule may provide access to Third-Party Services including a Marketplace for the exchange of cryptocurrency trading strategies. The Marketplace does not provide financial advice.

Coinrule has not reviewed all linked sites and is not responsible for their contents.

15. Modifications

Coinrule may revise these Terms at any time without notice. By using the Website, you agree to be bound by the then-current version.

16. Trademarks

COINRULE.com and our logos, product service names, slogans and the Software are trademarks of Coinrule and may not be copied or used without prior written authorization.

17. Governing Law

These Terms are governed by the laws of the United Kingdom within the jurisdiction of England and Wales.

18. Restricted Locations

You may not use the Software if you are located in any jurisdiction embargoed by the United Kingdom, United States of America or the European Union, or listed on the United Nations Security Council Consolidated List.

19. Investment Disclaimer

No Investment Advice. The information on this Website does not constitute investment advice, financial advice, or trading advice. Coinrule does not recommend that any cryptocurrency should be bought, sold, or held. The price of cryptocurrencies is highly volatile. Only invest money which you are ready to lose.

20. Decentralised Finance Integration

Coinrule does not own or control DeFi protocols and makes no warranties regarding their operation, security, or availability. By using the DeFi integration, you acknowledge and accept the associated risks.

General Disclaimer

Coinrule is not a broker, financial advisor, investment advisor, portfolio manager or tax advisor. Nothing in the Software shall constitute an offering of any financial instrument or investment recommendations. You acknowledge that Coinrule is not responsible for your use of any information obtained on the Software. Your decisions are your own.
